Terms of Business for the Supply of Permanent Staff
1. Definitions:
'LexWork' is the trading name of the recruitment arm
of The Warwickshire Law Society Ltd. ('the Society').
'The Candidate' means the individual introduced to the
Client by LexWork
'The Client' means the person, firm or corporate body,
being a member of the Society, requiring the services of LexWork.
'Remuneration' means the gross annual taxable salary
to be received by the candidate and in the event there is, in addition,
the provision of a company car, this will be calculated at the gross annual
value of £4,000.
'Introduction' means, without limitation, the supply
by LexWork of a Candidate's details, whether written or oral.
2. These terms and conditions take effect from lst October 2001.
3. Only current members of The Warwickshire Law Society may take advantage
of the services provided by LexWork.
4. a) By agreeing to engage a Candidate introduced by LexWork the Client
will be liable for an introduction fee which is 9% of the employee's first
year's remuneration, plus VAT.
b) The Client will be liable to pay a fee in respect of any Candidate
engaged by the Client as a consequence of, or resulting from, an introduction
by or through LexWork, whether direct or indirect, during the preceding
12 months period.
c) Where any Candidate introduced by LexWork to the Client is already
known to them, as a result of an introduction from another agency, the
Client shall notify LexWork of that fact within 4 working days from the
introduction, failing which the Client will be liable to pay a fee in
the event of the engagement of that Candidate within 12 months of the
introduction.
5. Invoices are subject to VAT and all accounts are payable within thirty
days of the Candidate starting employment.
6. By asking LexWork to introduce a Candidate for permanent employment,
and/or by agreeing to offer employment to a Candidate introduced by LexWork,
the Client is deemed to have accepted these terms of business.
7. The Client shall notify LexWork immediately a Candidate introduced
by LexWork is engaged and will supply, forthwith, a copy of the letter
of appointment to confirm the start date and annual remuneration.
8. LexWork will endeavour to ensure the suitability of a Candidate and
to maintain a high standard of service and integrity, but gives no warranty
as to such suitability.
LexWork will not be responsible for the accuracy of any information supplied
to the client in respect of any Candidate. The Client is responsible for
taking up references as to the Candidate's qualifications, capabilities,
integrity, medical history and suitability to meet the job specification.
9. All introductions and candidate details are strictly confidential.
All applications for vacancies will be treated in the strictest of confidence
and not disclosed to any other parties without the written permission
of both the candidate and LexWork.
10. If the candidate leaves your employment within thirteen weeks, 50%
of the original fee will be refunded.
If the candidate leaves your employment within thirteen to twenty-six
weeks, 25% of the fee will be refunded.
11. a) LexWork will, if you wish, advertise your vacancy in the Society's
internal magazine 'LexPress', or on its website and we will make no charge
for this service. However, if a placement follows the advertisement the
normal introduction fee will apply.
If LexWork undertakes external advertising on behalf of the Client (for
which the client has agreed to pay) the Client will be liable to pay such
costs within 7 days of the invoice resulting from such advertising being
rendered.
12. LexWork will not be liable to the Client for any loss, liability,
damages, costs, claims or expenses (whether direct of indirect) suffered
or incurred by the Client as a result of the negligence, dishonesty or
misconduct of the Candidate or arising from or connected with, the engagement
of a Candidate or the failure to introduce a suitable Candidate.
13. These terms comprise the entire agreement between the parties and
remain in force unless otherwise agreed in writing.
